End User License Agreement (EULA)

Effective date: July 25, 2026

1. License grant

Subject to your compliance with this agreement, we grant you a non-exclusive, non-transferable, non-sublicensable license to install and run vConfig (the “Software”) on servers owned or controlled by you or your organization, managing no more than the number of network devices permitted by your tier (10 devices on the Free plan). One license covers one production instance; cold-standby and test instances require no additional license.

2. Restrictions

Except with our written permission or where applicable law mandates otherwise, you may not: (a) sell, rent, resell the Software or offer it to third parties as a hosted/multi-tenant service (SaaS/MSP resale); (b) remove, circumvent or defeat the licensing and activation mechanisms; (c) build a competing product from the Software’s source code; (d) remove copyright or attribution notices. Internal configuration, customization and integration within your organization are unrestricted.

3. Source visibility

The Software is delivered in readable source form so you can audit its security and integrate it internally. This is not an open-source license. The Software remains our copyrighted work; unauthorized distribution or commercial exploitation is prohibited.

4. Activation, heartbeats and offline grace

The Software activates online against vconfig.ai and periodically sends heartbeats containing only the fields required for license status (see the Privacy Policy). If our service is unreachable, the Software continues fully functional for an offline grace period of at least 14 days. When a subscription lapses, the Software reverts to Free-plan limits — your data is preserved and service is not interrupted.

5. Updates

An active subscription includes all updates over OTA. After your subscription ends you may keep using the installed version (within Free-plan limits) but no longer receive updates or security fixes.

6. Disclaimer

The Software is provided “as is”, without warranty of error-free or uninterrupted operation. The Software logs into and may modify the configuration of your network devices — you are responsible for reviewing every change it deploys, and you bear the consequences of network outages arising from such changes. Always maintain independent out-of-band access to your devices.

7. Limitation of liability

To the maximum extent permitted by law, our aggregate liability is capped at the license fees you actually paid in the preceding 12 months, or USD 100 for Free-plan users. We are not liable for lost profits, loss of data, or business interruption.

8. Termination

We may terminate this license and revoke your key upon material breach (including defeating the licensing mechanism, exceeding licensed limits, or prohibited distribution). Upon termination you must cease use of paid features; sections 6 and 7 survive termination.

9. Governing law

This agreement is governed by the laws of the Hong Kong Special Administrative Region.
